1. Acceptance and authority
By accessing or using a swoopp service, you agree to this agreement. If you do not agree, do not access or use the service. If you act for an organization, you represent that you have authority to bind that organization. A separate written agreement with swoopp controls if it expressly conflicts with this agreement.
2. Limited license
swoopp grants you a limited, non-exclusive, non-transferable, revocable license to use the applicable service for its intended and authorized purpose. You may not resell, sublicense, reverse engineer, interfere with, misuse, or attempt unauthorized access to a swoopp service except where applicable law expressly permits otherwise.
3. Accounts and authorized use
You are responsible for account security, the accuracy and legality of information you provide, and all activity performed under your authorization. You may submit or connect only information and systems that you own or are authorized to use.
4. Your materials
You retain ownership of data, files, and other materials you provide. You grant swoopp the limited rights necessary to host, process, analyze, transmit, and otherwise use those materials to provide the authorized service. We do not acquire ownership of your materials through this license.
5. swoopp intellectual property
swoopp and its licensors retain all rights in the services, software, models, workflows, documentation, designs, and related intellectual property, excluding your materials. No rights are granted except those expressly stated.
6. Third-party services
swoopp services may interoperate with third-party products or data sources. Those services remain governed by their own terms and privacy practices. You may disconnect an authorized integration through the relevant provider or by contacting swoopp.
7. Research and professional-use limitations
Computational predictions, research outputs, analyses, and software-assisted findings may be incomplete or uncertain and require independent review and validation. Unless a separate written agreement states otherwise, swoopp services do not provide medical, clinical, legal, tax, investment, audit-attestation, or other regulated professional advice and are not a substitute for qualified professional judgment.
8. Availability and warranties
Services are provided on an "as is" and "as available" basis. To the extent permitted by law, swoopp disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that services will be uninterrupted, error-free, or produce a particular result. Some jurisdictions do not allow certain warranties to be excluded, so parts of this section may not apply to you.
9. Limitation of liability
To the extent permitted by law, swoopp LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, or loss of data arising from use of a service. This limitation does not apply where liability cannot legally be limited.
10. Suspension and termination
You may stop using a service at any time. swoopp may suspend or terminate access for misuse, security risk, nonpayment, legal requirements, or violation of this agreement. Provisions concerning ownership, retained records, disclaimers, and liability survive where applicable.
11. Changes and contact
We may update this agreement as our services or legal obligations change, and the effective date shown with this agreement identifies the current version. Where applicable law requires advance notice of, or consent to, a material change, we will provide it; otherwise, continued use after an update takes effect indicates acceptance of the revised terms. If you do not accept an update, stop using the service. No update waives a right that applicable law does not permit to be waived. Questions may be sent to swoopp LLC at [email protected].
